DIR-3 KYC Filing

 

DIR-3 KYC is an annual compliance that must be filed by every Director who holds a DIN (Director Identification Number).

It is basically a Know Your Customer (KYC) form for Directors with the Ministry of Corporate Affairs (MCA).

Purpose:

  • To keep DIN details updated.
  • To prevent misuse of DIN by fake/inactive directors.
  • To ensure only genuine directors remain active on MCA records.
 

Who Needs to File DIR-3 KYC?

  • Every director who has been allotted DIN (Director Identification Number).
  • Even if the DIN is not used in any company, KYC is still mandatory.

Two Modes of Filing:

  1. DIR-3 KYC (Form Based): For those filing KYC for the first time or when there is a change in details (like mobile/email).
  2. DIR-3 KYC Web: For those who have filed in earlier years and just need to confirm details (no change).
 

Due Date of DIR-3 KYC

  • Must be filed every year by 30th September for the previous financial year.

Example: For FY 2024–25, DIR-3 KYC must be filed by 30th September 2025.


Documents Required for DIR-3 KYC

  1. Director PAN Card (self-attested).
  2. Director Aadhaar Card (self-attested).
  3. Passport (mandatory if a foreign national).
  4. Present Residential Address Proof (Electricity bill/Bank statement – not older than 2 months).
  5. Personal Mobile Number (for OTP verification).
  6. Personal Email ID (for OTP verification).
  7. Digital Signature Certificate (DSC) of Director.
  8. Certification by Professional (CA/CS/CMA).
 

Process of Filing DIR-3 KYC

  1. Collect Documents – PAN, Aadhaar, Address proof.
  2. Form Filling – Fill DIR-3 KYC with personal details (Name, Father’s Name, DOB, PAN, Aadhaar, Mobile, Email, Nationality).
  3. OTP Verification – Mobile number & email ID are verified via OTP.
  4. Attach Documents – Proofs uploaded along with form.
  5. Professional Certification – A practicing CA/CS/CMA digitally certifies the form.
  6. File with MCA – Submit the form online using DSC.
  7. Acknowledgment – MCA issues SRN & confirmation email.
 

Penalties for Non-Filing

If not filed by 30th September:

  • DIN will be deactivated with the reason “non-filing of DIR-3 KYC”.
  • Director cannot file any form with MCA (like appointment, resignation, annual filings, etc.).
  • To reactivate DIN, the director must file DIR-3 KYC with ₹5,000 penalty.
